2. Client Responsibilities

To ensure the success of our campaigns, you agree to:

  • Provide accurate, complete, and timely information, materials, and access (such as website or social media logins) required for us to perform the Services.

  • Ensure that all content, data, or materials you provide do not infringe on any third-party intellectual property rights.

3. Payment and Fees

  • Pricing: All service fees will be clearly stated in your custom proposal or contract.

  • Payment Terms: Payments must be made according to the schedule agreed upon in your invoice or agreement (e.g., upfront deposit, monthly retainer, or milestone-based payments).

  • Late Payments: Failure to make payments on time may result in the temporary suspension of your services or project until the balance is cleared.

4. Intellectual Property

  • Our Material: All content, designs, and code on upscoretech.com are owned by UpScoreTech and are protected by copyright laws.

  • Deliverables: Once full payment is received, ownership and copyright of the final deliverables (such as custom websites, graphics, or edited videos) will be transferred to the client. We reserve the right to display the completed work in our portfolio unless a non-disclosure agreement (NDA) is signed.

5. Termination of Services

  • Either party (UpScoreTech or the Client) may terminate a service agreement by giving 14 days or 30 days’ written notice, unless a different notice period is specified in the individual contract..

  • In the event of termination, the client will be billed for all work completed up to the termination date.

6. Limitation of Liability

While we use data-driven strategies and industry best practices to maximize your results, digital marketing outcomes depend heavily on search engine algorithms, market changes, and platform rules. Therefore, UpScoreTech cannot guarantee specific financial returns, sales numbers, or permanent number-one search engine rankings. UpScoreTech will not be liable for any indirect or consequential damages arising from the use of our services.

7. Confidentiality

We understand that performing our Services may require access to sensitive business information, website credentials, and social media accounts. UpScoreTech agrees to keep all such information strictly confidential and will not disclose it to any third party, except as required to perform the Services or as required by law.

8. Governing Law

UpScoreTech is based in Padova, Italy. These Terms and any separate agreements for services shall be governed by and construed in accordance with the laws of Italy/European Union.
